for Ordering, Purchase/Sale and Delivery of Goods
This agreement is an official and public offer made by Sole Proprietor (FOP) Sukhomlynova Kateryna Viktorivna (hereinafter the Seller) to enter into a distance sale and purchase agreement for the Goods presented on https://soultree.com.ua/ (hereinafter the Online Store / Site).
This agreement is a public contract pursuant to Article 633 of the Civil Code of Ukraine, meaning its terms are the same for all buyers regardless of their status (individual, legal entity, sole proprietor) and without granting preference to one buyer over another.
By entering into this Agreement, the Buyer fully accepts the terms and procedure for placing orders, paying for Goods, delivery, returns, liability for bad-faith orders, and all other terms of this Agreement.
The Agreement is deemed concluded at the moment the Buyer clicks “Confirm Order” on the checkout page in the “Cart” section and the Buyer receives the Seller’s order confirmation electronically.
1. Definitions
1.1. Public Offer (the “Offer”) – the Seller’s public proposal addressed to an indefinite number of persons to conclude a distance sale and purchase agreement (the “Agreement”) on the terms set out in this Offer.
1.2. Goods or Services – the subject of the transaction selected by the Buyer on the Online Store website and placed into the cart, or already purchased by the Buyer from the Seller remotely.
1.3. Online Store – the Seller’s website at https://soultree.com.ua/ created for concluding retail and/or wholesale sale and purchase agreements by allowing the Buyer to review the description of Goods via the Internet.
1.4. Buyer – a legally capable individual who has reached the age of 18 and places an order for Goods presented on the Online Store website for purposes not related to business activity, or a legal entity / sole proprietor.
1.5. Seller – Sole Proprietor (FOP) Sukhomlynova Kateryna Viktorivna, operating in accordance with the laws of Ukraine. Seller’s contacts: info@soultree.com.ua, phone (068) 582 03 07.
2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of conclusion of the Offer Agreement (acceptance) and the moment of full and unconditional acceptance by the Buyer is the date the Buyer completes the order form on the Online Store website, provided the Buyer receives the Seller’s electronic order confirmation. If necessary, at the Buyer’s request, the Agreement may be executed in written form.
3. Placing an Order
3.1. The Buyer places an order independently through the “Cart” form on the Online Store website, or by placing an order via e-mail or phone number listed in the Online Store “Contacts” section.
3.2. The Seller may refuse to fulfill an order if the information provided by the Buyer is incomplete or raises doubts as to its validity.
3.3. When placing an order, the Buyer must provide the mandatory information required to fulfill the order:
3.3.1. Buyer’s first and last name;
3.3.2. delivery address (if delivery to the Buyer’s address);
3.3.3. contact phone number;
3.3.4. identification / registration details for a legal entity or sole proprietor (if applicable).
3.4. The name, quantity, SKU, and price of the Goods selected by the Buyer are shown in the Buyer’s cart on the Online Store website.
3.5. If either Party requires additional information, it may request it from the other Party. If the Buyer fails to provide required information, the Seller is not liable for failure to properly perform the service related to purchase in the Online Store.
3.6. When placing an order through the Seller’s operator (clause 3.1), the Buyer must provide the information set out in clauses 3.3–3.4.
3.7. Acceptance of this Offer is carried out by entering the relevant data into the registration/order form on the Online Store website or by placing an order through the operator. After an order is placed through an operator, the Buyer’s data is entered into the Seller’s database.
3.8. The Buyer is responsible for the accuracy of the information provided.
3.9. By accepting this Offer, the Buyer confirms that:
(a) the Buyer has fully read and agrees with the terms of this Offer;
(b) the Buyer gives consent to the collection, processing, and transfer of personal data as required to perform this Agreement, carry out settlements, and issue documents (if applicable). The Buyer also agrees that the Seller may provide access to and transfer the Buyer’s personal data to third parties for the purpose of fulfilling the Buyer’s order (delivery services, payment providers, etc.).
4. Price and Delivery
4.1. Prices for Goods and services are determined by the Seller and indicated on the Online Store website. All prices are shown in UAH.
4.2. The Seller may change prices unilaterally depending on market conditions. However, the price of a specific unit already paid in full by the Buyer cannot be changed unilaterally.
4.3. The price shown on the Online Store website does not include delivery costs. The Buyer pays delivery costs according to the carrier’s tariffs directly to the selected delivery service.
4.4. The price shown does not include delivery to the Buyer’s address.
4.5. The Seller may provide an estimated delivery cost upon the Buyer’s request via e-mail or when placing an order through an operator.
4.6. The Buyer’s payment obligation is considered fulfilled once funds are credited to the Seller’s account / payment is confirmed by the payment provider (depending on the payment method).
4.7. Payment methods are described on the Online Store website in the “Payment and Delivery” section.
4.8. Upon receipt, the Buyer must check the Goods in the presence of the carrier’s representative (name, quantity, completeness, expiry date).
4.9. By signing the receipt/invoice/waybill, the Buyer confirms there are no claims regarding quantity, appearance, or completeness.
4.10. Ownership and risk of accidental loss or damage transfer to the Buyer upon receipt (pickup) or upon the Seller handing the Goods to the selected carrier.
5. Rights and Obligations
5.1. The Seller shall:
5.1.1. deliver the Goods according to this Agreement and the Buyer’s order;
5.1.2. not disclose private information about the Buyer except as required by law and for fulfilling the Buyer’s order.
5.2. The Seller may:
5.2.1. change the terms of this Agreement and prices unilaterally by publishing updates on the Online Store website. All changes take effect upon publication.
5.3. The Buyer shall:
5.3.1. review this Agreement, its terms, and prices before placing an order;
5.3.2. provide all data necessary to identify the Buyer and deliver the ordered Goods.
6. Returns
6.1. The Buyer may return non-food Goods of proper quality within 14 (fourteen) days, excluding the purchase day, provided the Goods have not been used and their товарний вигляд/consumer properties/packaging/seals/labels and the payment document are preserved. The list of Goods not eligible for return is approved by the Cabinet of Ministers of Ukraine.
6.2. A refund for proper-quality Goods is made within 30 (thirty) calendar days from the date the Seller receives the returned Goods, provided the requirements in clause 6.1 and Ukrainian law are met.
6.3. Refunds are made by bank transfer to the Buyer’s account.
6.4. Return shipping of proper-quality Goods to the Seller’s address is paid by the Buyer and is not reimbursed by the Seller.
6.5. If defects are discovered during the warranty period, the Buyer may submit claims under the Law of Ukraine “On Consumer Rights Protection”.
6.6. Claims are reviewed provided the Buyer submits the documents required by Ukrainian law.
6.7. The Buyer may not refuse proper-quality Goods with individually defined characteristics intended exclusively for the Buyer (including non-standard sizes/specifications/appearance/configuration at the Buyer’s request).
6.8. Returns are made to the address indicated on the website in the “Contacts” section.
7. Liability
7.1. The Seller is not liable for damage caused to the Buyer or third parties due to improper use or storage of the Goods.
7.2. The Seller is not liable for improper or delayed fulfillment if the Buyer provided inaccurate/false information.
7.3. The Parties are liable in accordance with Ukrainian law and this Agreement.
7.4. The Parties are released from liability for non-performance caused by force majeure (war/military actions, earthquake, flood, fire, other natural disasters, etc.). The affected Party shall notify the other Party without delay.
8. Confidentiality and Personal Data Protection
8.1. By providing personal data during registration or checkout, the Buyer gives voluntary consent to the processing, use (including transfer) of personal data and other actions предусмотрені by the Law of Ukraine “On Personal Data Protection”, without limiting the term of such consent.
8.2. The Seller undertakes not to disclose information received from the Buyer. Disclosure to contractors/third parties acting under agreements with the Seller (including to fulfill obligations to the Buyer) or as required by law is not considered a breach.
8.3. The Buyer is responsible for keeping their personal data up to date.
9. Miscellaneous
9.1. This Agreement is concluded in Ukraine and is governed by Ukrainian law.
9.2. Disputes are resolved through negotiations; if unresolved — in court in accordance with Ukrainian law.
9.3. The Seller may amend this Agreement unilaterally by publishing an updated version on the Site.
